1. Introduction
Welcome to TELI, an outbound and inbound calling and text messaging SaaS service. These Terms and Conditions (“Terms”) govern your use of the Service. By accessing or using the Service, you (“Client”) agree to comply with and be bound by these Terms.
2. Service Overview
The Service is designed to assist clients in managing their outbound and inbound calling campaigns, as well as text messaging, allowing clients to contact leads, receive inbound calls, and send text messages for business purposes (“Purpose”). The Service is not intended for cold calling or contacting individuals who have not given explicit prior consent.
3. Compliance with Laws and Regulations
3.1. Client Responsibility
Clients are solely responsible for ensuring that their use of the Service complies with all applicable local, state, and federal laws, including but not limited to:
The Telephone Consumer Protection Act (TCPA)
The Telemarketing Sales Rule (TSR)
The National Do Not Call (DNC) Registry
Federal Communications Commission (FCC) regulations
Any state-specific telemarketing laws and regulations
3.2. Opt-In Lead Requirement
Clients must ensure that all individuals or entities they contact using the Service, whether via calls or text messages, have voluntarily opted in to receive communication from the Client. This means that clients must have obtained express prior written consent from each lead before using the Service to contact them.
3.3. Subscription Account Number (SAN) Requirement
Clients must obtain a valid Subscription Account Number (SAN) from the Federal Trade Commission (FTC) to access the National DNC Registry. Clients are responsible for ensuring their SAN is up-to-date and renewed annually as required by the FTC.
3.4. Do Not Call (DNC) List Compliance
List Scrubbing: Clients must regularly scrub their calling lists against the National DNC Registry and any relevant state-specific DNC lists. This must be done no less frequently than every 31 days.
Prohibited Calls: Clients are prohibited from contacting any number listed on the DNC Registry unless they have obtained express prior written consent from the recipient or the recipient has an existing business relationship with the Client, as defined by law.
Safe Harbor: Clients must maintain and document policies and procedures for compliance with DNC regulations to qualify for any safe harbor protections available under the law.
3.5. Call Time Restrictions
Clients must adhere to FTC regulations that restrict telemarketing calls to between 8 a.m. and 9 p.m. local time of the recipient, unless specific consent has been obtained to contact them outside these hours.
3.6. Identification Requirements
During each call, Clients must clearly identify themselves, the entity on whose behalf they are calling, and provide a valid telephone number or address where they can be contacted.
3.7. Call Abandonment and Automated Dialing
Abandonment Rate: Clients must comply with the FTC’s rules regarding call abandonment, ensuring that the abandonment rate does not exceed 3% of all answered calls within a 30-day period.
Automated Messages: Any automated calls (robocalls) and text messages must comply with all relevant regulations, including obtaining prior express written consent from the recipient, particularly for calls and texts to mobile phones.
4. Consent and Authorization
4.1. Obtaining Consent
Clients must ensure that valid prior express written consent is obtained from individuals before using the Service to contact them, whether via outbound calls, inbound calls, or text messages. This is especially important when using automated dialing systems or pre-recorded messages.
4.2. Record-Keeping Requirements
Clients are required to maintain detailed records of consent obtained, including the date, time, and method of consent. These records must be retained for a minimum of four years and provided to TELI AI LLC or relevant authorities upon request.
5. Use of the Service
5.1. Permitted Use
Clients may use the Service solely for the Purpose outlined above and must do so in accordance with these Terms and all applicable laws and regulations. Clients are expressly prohibited from using the Service for any unlawful purposes or to contact individuals who have not opted in.
5.2. Prohibited Activities
Clients are prohibited from:
Contacting numbers on the DNC Registry or other prohibited lists without proper consent.
Using the Service to harass, defraud, or mislead recipients.
Violating any state or federal telemarketing laws, including the TCPA, TSR, or FCC regulations.
6. Call Recording and Privacy
6.1. Call Recording Compliance
If the Service includes call recording capabilities, Clients must comply with all applicable laws, including obtaining necessary consent from call participants before recording any conversation.
6.2. Data Privacy and Protection
Clients must handle, store, and process all personal data in compliance with applicable data protection laws, such as the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA). Clients are responsible for safeguarding any data obtained through the use of the Service.
7. Liability and Indemnification
7.1. Client Liability
Clients are solely responsible for ensuring that their use of the Service is compliant with all applicable laws and regulations. TELI AI LLC shall not be held liable for any actions or omissions of the Client in connection with their use of the Service.
7.2. Indemnification
Clients agree to indemnify, defend, and hold harmless TELI AI LLC and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including legal fees) arising out of or related to the Client’s use of the Service, including any breach of these Terms or violation of applicable laws.
8. Service Availability and Limitations
8.1. Service Availability
TELI AI LLC will use reasonable efforts to ensure that the Service is available at all times. However, the Service may be subject to occasional interruptions for maintenance, updates, or other issues.
8.2. Limitations of Liability
TELI AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Service, including but not limited to lost profits, data loss, or business interruption, even if TELI AI LLC has been advised of the possibility of such damages.
9. Termination
9.1. Termination Rights
TELI AI LLC reserves the right to terminate or suspend a Client’s access to the Service at any time, with or without notice, for any violation of these Terms or applicable laws.
9.2. Effects of Termination
Upon termination, the Client’s access to the Service will be immediately revoked, and the Client will lose access to any data associated with their account.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the state of Michigan, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Oakland Country, Michigan.
11. Amendments
TELI AI LLC reserves the right to amend these Terms at any time. Clients will be notified of any material changes to these Terms, and continued use of the Service constitutes acceptance of the updated Terms.
12. Miscellaneous
12.1. Entire Agreement
These Terms constitute the entire agreement between the Client and TELI AI LLC regarding the use of the Service and supersede any prior agreements or understandings.
12.2. Severability

MASTER SUBSCRIPTION AGREEMENT
This Master Services Agreement (the “Agreement”) governs Customer’s subscription and/or use of the TELI AI LLC service (“Service”) identified on the form used to place your order for the Service (the “Order Form”). Customer may also be referred to as “You” or “Your”, as more fully described on the Order Form. “We”, “Us”, “Our”, or “TELI AI LLC” means TELI AI LLC.
1. Acceptance of Terms. 1.1 This Agreement governs Your subscription and use of the Service, regardless of the term of Your subscription, or if You order the Service on a month-to-month basis... 1.2 You are solely responsible for all activity under any account or Sub-Account You create.
2. Modifications to the Service. We reserve the right to modify the Service at any time, with or without notice.
3. Fees and Payment.
You agree to pay the monthly or annual fee corresponding to your subscription tier. Subscriptions renew automatically given consistent usage. If you consume more usage beyond what your current subscription tier allows within the same billing period, you will be upgraded to a higher subscription tier and prorated for the difference in price. Subscription payments are non-refundable charges.
Processing fees, taxes, and penalties for content violations apply.
Cancellation must be done via a meeting with a TELI AI associate.
4. Intellectual Property Rights.
TELI AI LLC retains ownership of all Service-related IP.
You grant TELI AI LLC a license to use any content you transmit through the Service.
5. Content and Conduct.
You are liable for all content transmitted.
Violations (e.g., SHAFT content or phishing) may result in penalties and account suspension.
6. Usage Restrictions.
No malware, spoofing, unauthorized data collection, or impersonation.
Compliance with all applicable laws is required.
TELI AI LLC may create a 10DLC-compatible site for you unless opted out via info@teli.ai.
7. IP Terms.
You are granted limited, non-transferable access.
Unauthorized use or reproduction is prohibited.
8. Third-Party Services.
TELI AI LLC is not liable for third-party links or data security on external sites.
9. Term and Termination.
Auto-renewal applies unless notice is provided 60 days before term end.
TELI AI LLC may terminate with 60 days’ notice or immediately upon material breach.
10. Disclaimer and Limitation of Liability.
The Service is provided “as is”.
TELI AI LLC disclaims liability for damages, downtime, or legal noncompliance by users.
11. Indemnification. You agree to defend and indemnify TELI AI LLC from any claims resulting from misuse or violations on your part.
